Terms of Service
These Terms of Service apply to the services that Anakalice Digital Limited provides to its clients. They work alongside the specific proposal, quotation, invoice or written agreement we agree with you for a particular piece of work (each an Order). If an Order and these Terms differ, the Order governs that project. These Terms are separate from our website Terms of Use and our Privacy Policy, which continue to apply.
1. Our services and how work is agreed
Anakalice is a technology and media company. Our services can include website design and development; web, mobile and custom software; SaaS products including our school management system; payment integrations and digital infrastructure; AI-assisted development and automation; videography and video editing; voiceover, narration and audio; technology consulting; and other services we expressly agree with you.
A description of what we can do is general information. It does not mean that every service is included in any particular purchase. What you are paying for is set out in your Order: the deliverables, the timeline or milestones, what is included and excluded, and the price. If it is not in your Order, it is not included. Anything outside the agreed scope is Additional Work, which we quote and agree before we do it.
2. Payments
You pay the fees and on the schedule set out in your Order. Our standard structure is 80 percent of the fee as an advance before work begins, and the remaining 20 percent on completion, before final delivery, unless your Order says otherwise. Your project fee includes the third-party costs we need to deliver the agreed work, such as the domain and hosting for the agreed term. The costs that are yours are limited to things outside the delivery itself, such as app-store or Google Play publishing fees and any ongoing third-party subscription or transaction fees after launch. Applicable taxes are added where they apply. We hand over the finished work in full once the balance is paid.
Invoices are due by the date stated. If an account is overdue, we may, after notice, pause or suspend work until payment is up to date. Additional Work, increases in third-party costs, and work caused by your changes or delays may carry additional charges, agreed before we proceed where practicable. An advance payment reserves our time and covers work and costs we commit to on your project. If you dispute an invoice, tell us in writing without undue delay; amounts not in genuine dispute remain due. Because we commit our time and pay third parties as soon as a project begins, a dispute cannot undo work already done or costs already spent, which are handled under the Refund and Cancellation Policy.
3. Refunds and cancellations
A refund is possible only while we have not yet started work on your project. Because we begin work promptly once your payment is confirmed, often the same day, that window is short. Once work has started, fees are not refundable. If we are unable to deliver what you paid for and that is our fault, you receive a fair refund for the undelivered part. Genuine defects in delivered work are corrected free within 30 days of handover; a defect is a fault in the work, not a change of mind or a new request. Subscriptions follow their own terms.
4. Revisions and scope changes
A revision is an adjustment to a deliverable we have already produced, within the agreed scope and brief. A new requirement is anything that adds to or changes the agreed scope or an approved brief, such as new features, extra pages, a different direction, or a major redesign. A revision round is one consolidated set of change requests sent together, not many separate requests.
Website development, web, mobile and custom software and apps, and video editing each include 2 revision rounds. Voiceover includes 1 to 2 rounds. Music mixing and mastering each include 2 revision rounds, and music production revisions depend on the agreed package. Your Order can state a different number. Additional revisions, new requirements, major redesigns, and changes to a brief you have already approved are Additional Work, quoted and agreed before we proceed. Once you approve a stage, later changes to it are treated as new requirements.
5. Delivery and your responsibilities
You give us, on time, the materials, content, approvals, feedback and access we reasonably need, such as text, images, logos and brand assets, and credentials for your domain, hosting and third-party accounts. You are responsible for the accuracy and lawfulness of what you give us, and for having the right to use it. If you are late or give inaccurate information, the timeline moves accordingly and we are not responsible for the resulting delay.
If a project is waiting on you without response for 30 days, we may treat it as inactive, invoice for the work done to date, and schedule its resumption subject to our availability. If you resume after a pause of 30 days or more, a re-activation fee applies, quoted at the time. We deliver the agreed deliverables in the agreed formats.
6. Maintenance and technical support
For eligible development projects, we correct genuine defects (where a deliverable does not work as agreed) reported within 30 days of handover, at no extra charge. This does not cover a change of mind, a new feature or enhancement, content changes, problems caused by you or a third party changing the work after delivery, or issues that originate in third-party services. A defect reported after the 30-day window is not covered, and we will not work on it.
Ongoing maintenance, hosting and domain management, software and security updates, and new features are separate services, provided under a separate arrangement or quoted separately. A defect-correction period does not include free ongoing maintenance.
7. Intellectual property and ownership
The deliverables we create specifically for you become yours once you have paid in full all sums due for the project. On full payment we assign to you, or grant you the agreed rights to use, the final bespoke deliverables for your business. Until you have paid in full, all rights in the work remain ours.
We keep ownership of our pre-existing tools, frameworks, libraries, templates, know-how and reusable code. Where these are part of a deliverable, you receive a non-exclusive right to use them as part of that deliverable; you do not acquire ownership of the underlying tool. Third-party and open-source components remain subject to their own licences. Materials you supply stay yours. We may show non-confidential work we have done for you in our portfolio and marketing, unless you ask us in writing not to.
8. Third-party services
Projects often rely on third parties such as hosting providers, domain registrars, APIs, payment processors, plugins, AI services, and app stores. We integrate and configure them, but we do not control them and are not responsible for their availability, pricing, policy changes, outages or discontinuation. The third-party costs we need to deliver your project, such as domain and hosting, are included in your fee; app-store or Google Play publishing fees, and any ongoing third-party subscription or transaction fees after launch, are yours. This section does not reduce the obligations we have actually taken on in your Order.
9. Warranties and limitation of liability
We provide our services with reasonable care and skill, and eligible deliverables will substantially match the agreed scope at delivery, subject to the defect-correction process. We do not warrant uninterrupted or error-free operation, results that depend on third parties, or specific business outcomes. We are not liable for problems caused by your misuse, by changes made by you or others after delivery, by your failure to maintain the work, or by third-party outages.
To the extent the law allows, we are not liable for indirect or consequential loss, or loss of profit, revenue, data or goodwill, and our total liability for a project is limited to the fees you paid us for that project. Nothing in these Terms excludes any liability that cannot lawfully be excluded, including under the Federal Competition and Consumer Protection Act 2018 and other applicable Nigerian law.
10. Confidentiality and data protection
Each party keeps the other's confidential information, including access credentials and non-public materials, confidential, and uses it only to provide or receive the services. Personal data is handled under our Privacy Policy. Where we process personal data on your behalf, we do so on your instructions and in line with the Nigeria Data Protection Act 2023. For the school management system, that product's own terms and Data Processing Agreement apply. This section does not create any privacy commitment that conflicts with the Privacy Policy.
11. Suspension and termination
Either party may end an Order as set out in the Order or these Terms, including for a material breach that is not put right within a reasonable notice period. We may suspend work or access for non-payment, misuse, unlawful or infringing requests, or a material breach. On termination, invoices not in genuine dispute and costs we have properly incurred remain payable; we hand over the work you have paid for, to the stage reached; rights in unpaid work remain ours; and we return or delete your data as agreed and as required by the Privacy Policy.
12. Service-specific terms
Each service also follows the specific terms stated in your Order. In summary: website development covers scope and pages, 2 revision rounds, your content, domain and hosting included for the agreed term, and a 30-day defect-correction period. Software and apps follow agreed requirements, milestones, testing and acceptance, with source code for bespoke work delivered on full payment and change requests treated as Additional Work. The school management SaaS is governed in full by its own terms at schools.anakalicedigital.com/legal.
Video production covers the agreed filming sessions and deliverables, with reshoots free only where we failed the brief, 2 editing rounds, and raw footage retained by us unless purchased. Voiceover covers script approval before recording, free retakes for our errors, 1 to 2 revision rounds, and usage rights granted on full payment. Consulting covers the agreed scope and session length. AI-assisted work includes human review, and the deliverable is what your Order specifies, not the tools used. Payment integrations require you to hold the necessary provider and bank accounts; we integrate and configure payments, but we are not the payment processor and do not hold your funds.
13. Complaints, governing law and disputes
If something is wrong, contact us at info@anakalicedigital.com. We aim to acknowledge your complaint within 48 hours and work with you in good faith to resolve it, trying good-faith discussion first. These Terms are governed by the laws of the Federal Republic of Nigeria, and the Nigerian courts have jurisdiction. These Terms are written for a Nigerian company serving clients who may be based abroad; Nigerian law governs unless your Order says otherwise, and any mandatory consumer-protection rights in your own country that must apply are preserved. If there is a conflict, your Order comes first, then these Terms, then our general website pages.
